Terms of service

Overview
Welcome to Deskery.
Deskery is operated by DANADA INC. Throughout these Terms of Service, the terms “Deskery,” “we,” “us,” and “our” refer to DANADA INC, operating the Deskery store and website.
Deskery operates this store and website, including all related information, content, features, tools, products, and services, to provide you with a curated shopping experience. These are collectively referred to as the “Services.” Our store is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services.
These Terms of Service, together with the policies referenced in them, describe your rights and responsibilities when you access or use the Services.
Please read these Terms of Service carefully. They contain important information concerning orders, payments, shipping, returns, warranties, liability, and other legal rights and obligations.
By visiting, interacting with, purchasing from, or otherwise using the Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, you should not access or use the Services.
Section 1 – Access, Eligibility, and Accounts
By using the Services, you represent that you are at least the age of majority in your state or jurisdiction of residence or that you are using the Services with the permission and supervision of a parent or legal guardian.
To browse the store, create an account, make a purchase, or use certain Services, you may be required to provide information such as your name, email address, telephone number, billing address, shipping address, and payment information.
You represent that all information you provide is accurate, current, complete, and lawfully provided and that you have the authority to provide and use that information.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account. You must notify us promptly if you believe your account has been accessed or used without authorization.
You may not sell, assign, transfer, license, or provide your account credentials to another person.
Section 2 – Products and Product Information
We make reasonable efforts to present product descriptions, specifications, dimensions, images, colors, and other information accurately.
However, product colors and appearance may vary slightly depending on your screen, device, lighting, display settings, manufacturing variations, or other technical factors.
Minor color or appearance differences that result from display settings or normal manufacturing variation do not necessarily mean that a product is defective.
Nothing in this section limits rights or remedies that may be available when a product is materially different from its description, damaged, defective, incomplete, or incorrect.
Product descriptions, prices, specifications, availability, and other store content may be corrected or updated when necessary. We may discontinue products or limit quantities available to a customer, address, geographic area, or jurisdiction.
Product availability is not guaranteed until the order has been accepted and submitted for fulfillment.
Section 3 – Orders and Order Acceptance
Submitting an order constitutes an offer to purchase the products in the order. Receipt of an order confirmation does not necessarily mean that the order has been finally accepted or submitted for fulfillment.
We reserve the right, subject to applicable law, to accept, decline, limit, or cancel an order for reasons including:
- Product unavailability;
- Incorrect product, pricing, or inventory information;
- Payment authorization failure;
- Suspected fraud, unauthorized activity, or misuse;
- Shipping address restrictions;
- Quantity or resale concerns;
- Errors affecting the order or Services;
- Other circumstances that reasonably prevent us from fulfilling the order.
If we cancel all or part of an order after payment has been processed, the applicable amount will be refunded to the original payment method.
We may contact you using the email address, telephone number, billing information, or shipping information provided with the order if additional information or verification is required.
Order Cancellations
Cancellation requests must be submitted as soon as possible after an order is placed.
An order may be canceled if the cancellation request is received before the order has been submitted for fulfillment.
Once an order has been submitted for fulfillment, it can no longer be canceled.
Submitting a cancellation request does not confirm that the order has been canceled. Cancellation is complete only after Deskery provides written confirmation.
If an order is successfully canceled before it is submitted for fulfillment, the amount paid for the canceled order, including any applicable shipping charge, will be refunded to the original payment method.
If an order can no longer be canceled, the customer may request a return after delivery in accordance with our Returns & Refunds Policy.
Deskery does not charge a separate cancellation fee.
You represent that purchases are intended for lawful personal, household, educational, or business use and not for unauthorized resale, unlawful export, fraud, or other prohibited activity.
Section 4 – Prices, Promotions, Taxes, and Billing
Prices, discounts, promotions, and product availability may change without notice.
The price charged for a product will generally be the price displayed when the order is submitted, subject to correction of material errors as permitted by law.
Unless expressly stated otherwise, displayed prices do not include applicable taxes or shipping charges.
Shipping charges and taxes, when applicable, are displayed during checkout before the order is submitted.
Promotions, discount codes, and special offers may be governed by separate terms, including eligibility requirements, exclusions, expiration dates, usage limits, and combination restrictions. If promotion-specific terms conflict with these Terms, the promotion-specific terms will control for that promotion.
We reserve the right to correct material pricing, discount, product, inventory, or listing errors. If an order is canceled after payment because of such an error, the applicable amount will be refunded to the original payment method.
You agree to provide accurate and complete purchase, billing, payment, shipping, and account information and to update that information when necessary.
You represent that:
- You are authorized to use the payment method provided;
- The payment and billing information is accurate;
- The payment provider is authorized to process the charges;
- You will pay all properly disclosed product prices, shipping charges, and applicable taxes.
Section 5 – Shipping, Fulfillment, and Delivery
Orders are generally processed within 3–5 business days, excluding weekends and U.S. public holidays.
After processing, most eligible orders are expected to arrive within approximately 5–8 business days. The total estimated delivery period is generally 8–13 business days from the date the order is placed.
Processing and delivery periods are estimates and are not guaranteed. Product availability, payment or address verification, carrier disruptions, severe weather, holidays, high order volume, and circumstances outside our reasonable control may affect these estimates.
We may use third-party fulfillment, product, and shipping partners to process and deliver orders. Products may be shipped from different locations, and items within the same order may arrive in separate packages or on different dates.
Customers will not be charged additional shipping fees solely because an order is divided into multiple shipments.
Tracking information will be provided when available. A shipping carrier may require additional time to display or update tracking information.
Customers are responsible for providing an accurate and complete shipping address. We cannot guarantee that an address can be changed after an order has been submitted for fulfillment.
If we determine that an order cannot be shipped within the stated or otherwise agreed period, we may contact the customer with a revised estimate and available options. Where required by applicable law, the customer may choose to consent to the delay or cancel the affected unshipped order for a refund to the original payment method.
We are not responsible for delays caused solely by carriers, severe weather, natural disasters, government action, address errors supplied by the customer, or other circumstances outside our reasonable control. This limitation does not remove obligations that cannot lawfully be excluded.
Shipping availability, rates, exclusions, tracking, delayed packages, undeliverable packages, and related matters are governed by our Shipping & Delivery Policy.
Section 6 – Returns, Refunds, and Exchanges
Returns, refunds, damaged or incorrect items, return shipping costs, non-returnable items, and exchanges are governed by our Returns & Refunds Policy.
A return must be requested and approved before the item is sent back.
The business or mailing address displayed on our website is not automatically an authorized return address.
Items sent to an unauthorized address or without prior approval may not be accepted or refunded.
Nothing in these Terms limits rights or remedies that cannot lawfully be excluded or limited under applicable consumer protection law.
Section 7 – Intellectual Property
The Services, including the Deskery name, branding, website design, text, graphics, displays, images, videos, audio, logos, product organization, and other original content, are owned by or licensed to Deskery, its affiliates, service providers, or licensors and may be protected by copyright, trademark, patent, and other intellectual property laws.
These Terms permit you to access and use the Services for lawful personal and non-commercial purposes.
Without prior written permission, you may not:
- Copy, reproduce, republish, distribute, sell, or commercially exploit protected content;
- Modify or create derivative works from protected content;
- Remove copyright, trademark, or proprietary notices;
- Use Deskery branding in a way that suggests an unauthorized affiliation or endorsement;
- Use content in violation of applicable intellectual property law.
Deskery names, logos, designs, product names, and slogans may be trademarks of Deskery or its licensors. Shopify names, logos, products, and services are trademarks of Shopify. Other trademarks belong to their respective owners.
No license or ownership right is granted except as expressly stated in these Terms.
Section 8 – Optional Tools and Third-Party Services
The Services may provide access to features, applications, integrations, or tools operated by third parties.
Third-party services may be governed by their own terms, privacy policies, fees, and operating practices. You should review those terms before using a third-party service.
To the extent permitted by law, third-party tools are made available on an “as is” and “as available” basis, and Deskery does not control or guarantee their continued availability, accuracy, security, or performance.
We may add, modify, or discontinue features, integrations, tools, or resources. New features made available through the Services will also be subject to these Terms unless separate terms are provided.
Section 9 – Third-Party Links
The Services may contain links to websites, platforms, resources, or services operated by third parties.
Deskery does not control third-party websites and is not responsible for their content, availability, privacy, security, accuracy, products, services, or practices.
Accessing or transacting with a third-party website is at your own discretion. You should review the third party’s applicable terms and privacy policy before providing information or completing a transaction.
Questions or claims concerning products or services purchased directly from an independent third party should be addressed to that third party.
Section 10 – Relationship with Shopify
Deskery is powered by Shopify, which provides the ecommerce platform used to offer the Services.
Purchases made through the Deskery store are transactions directly between the customer and Deskery. Shopify is not the seller of the products purchased from Deskery and is not responsible for Deskery’s products, order fulfillment, shipping, returns, refunds, customer service, representations, or legal compliance.
To the fullest extent permitted by applicable law, you release Shopify and its affiliates from claims arising solely from purchases or transactions between you and Deskery.
Section 11 – Privacy
Personal information collected through the Services is handled in accordance with our Privacy Policy.
Because the Services are hosted by Shopify, Shopify also collects and processes certain information concerning access to and use of the Services to operate, secure, personalize, and improve its platform and related services.
Information submitted through the Services may be transmitted to Shopify, payment providers, fulfillment and shipping partners, and other service providers, including providers located in countries other than the country where you reside.
For more information, please review our Privacy Policy and the Shopify Consumer Privacy Policy.
Section 12 – Reviews, Feedback, and User Content
If you submit reviews, photographs, comments, suggestions, ideas, feedback, proposals, or other content to Deskery, you grant Deskery a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from that content for operating, improving, and promoting the Services.
This license does not transfer ownership of your original content to Deskery.
You represent that:
- You own the content or have permission to submit it;
- The content is accurate to the best of your knowledge;
- You have disclosed material compensation or incentives related to the content when required;
- The content does not violate another person’s rights or applicable law;
- The content does not contain malware, deceptive information, unlawful material, or unauthorized personal information.
We may moderate, decline, edit, or remove content that reasonably appears unlawful, fraudulent, abusive, threatening, obscene, defamatory, misleading, infringing, unrelated, or otherwise inconsistent with these Terms.
We will not suppress or manipulate customer reviews in a manner prohibited by applicable law.
Except where required by law, Deskery is not obligated to keep unsolicited feedback confidential, pay compensation for it, or respond to it.
Section 13 – Errors, Inaccuracies, and Omissions
The Services may occasionally contain typographical errors, inaccuracies, omissions, outdated information, or technical errors concerning product descriptions, pricing, promotions, shipping charges, processing times, delivery estimates, or availability.
We may correct errors and update information when reasonably necessary.
Subject to applicable law, we may cancel an affected order if a material error makes fulfillment impracticable or commercially unreasonable.
If we cancel an order after payment because of an error, we will refund the applicable amount to the original payment method.
Section 14 – Prohibited Uses
You may use the Services only for lawful purposes.
You may not use or attempt to use the Services:
- For unlawful, fraudulent, deceptive, abusive, or malicious purposes;
- To violate applicable international, federal, state, or local law;
- To infringe intellectual property, privacy, publicity, or other rights;
- To harass, threaten, defame, abuse, discriminate against, or harm another person;
- To submit false, misleading, or unauthorized information;
- To distribute spam, phishing messages, chain letters, or unauthorized advertising;
- To impersonate another person or misrepresent affiliation or identity;
- To introduce malware, viruses, malicious code, or harmful technology;
- To interfere with the security, integrity, operation, or availability of the Services;
- To bypass authentication, access controls, rate limits, CAPTCHAs, or technical restrictions;
- To collect personal information about others without authorization;
- To scrape, extract, reproduce, or commercially exploit content or data without permission;
- To make unauthorized purchases, conduct payment fraud, abuse promotions, or create false accounts;
- To engage in conduct that materially interferes with another user’s access to the Services.
This section does not prohibit ordinary search-engine indexing, accessibility technology, security research authorized by Deskery, or other activity expressly authorized by applicable law or by Deskery in writing.
We may suspend or restrict access when we reasonably believe these Terms have been violated, subject to applicable law.
Section 15 – Automated Agents
This section applies to software or services that take autonomous or semi-autonomous action on behalf of a person or organization and interact with the Services without continuous direct supervision, referred to as an “Agent.”
An Agent may not access or interact with the Services in violation of these Terms, technical controls, applicable law, or a written request from Deskery.
Where technically applicable, an Agent must accurately identify itself and must not:
- Conceal or misrepresent that access is automated;
- Impersonate a human user;
- Circumvent CAPTCHAs, access restrictions, or security measures;
- Ignore robots instructions or other technical restrictions;
- Collect or use data in a manner prohibited by law or these Terms.
We may use reasonable technical measures to restrict, control, or block automated access.
This section does not prohibit lawful search-engine indexing, accessibility services, approved integrations, or automation expressly authorized by Deskery.
Section 16 – Suspension and Termination
We may suspend, restrict, or terminate access to all or part of the Services if we reasonably determine that:
- You violated these Terms or applicable law;
- Your activity creates a security, fraud, legal, or operational risk;
- Payment remains due or has been reversed without a valid basis;
- Suspension or termination is reasonably necessary to protect customers, Deskery, Shopify, or another party.
Termination does not eliminate payment obligations or liabilities that arose before termination.
Provisions that by their nature should survive termination—including intellectual property, feedback licenses, disclaimers, limitations of liability, indemnification, governing law, and dispute-related provisions—will remain effective.
Section 17 – Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
Except where expressly stated or required by law, Deskery does not guarantee that:
- The Services will always be uninterrupted, secure, timely, or error-free;
- All website information will always be complete, accurate, or current;
- Every feature, integration, or third-party service will remain available;
- Products will satisfy subjective preferences or expectations not included in the product description.
To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, title, durability, and non-infringement.
These disclaimers do not apply to warranties, rights, or remedies that cannot lawfully be excluded or limited.
Section 18 – Limitation of Liability
To the fullest extent permitted by applicable law, Deskery, DANADA INC, and their affiliates, officers, directors, employees, agents, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost savings, business interruption, loss of data, or replacement costs arising from or related to use of the Services.
These limitations apply regardless of whether the claim is based on contract, tort, negligence, strict liability, statute, or another legal theory and whether or not the possibility of damages was disclosed.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where it cannot be limited, personal injury caused by legally actionable conduct, or any liability, right, or remedy that cannot lawfully be excluded or limited.
Some jurisdictions do not allow certain warranty exclusions or liability limitations. In those jurisdictions, the applicable exclusions or limitations will apply only to the maximum extent permitted by law.
Section 19 – Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Deskery, DANADA INC, Shopify, and their respective affiliates, directors, officers, employees, contractors, agents, licensors, and service providers from third-party claims, losses, liabilities, damages, and reasonable legal fees arising from:
- Your material violation of these Terms;
- Your unlawful use of the Services;
- Your infringement or violation of another party’s rights;
- Your fraud, misconduct, or unauthorized activity.
We will provide reasonable notice of an indemnifiable claim when practicable. You agree to reasonably cooperate in the defense of the claim.
We will not agree to a settlement that imposes a non-monetary obligation directly on you without your reasonable consent.
Section 20 – Severability
If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary.
The remaining provisions will continue in full force and effect.
Section 21 – Waiver and Entire Agreement
Failure to enforce a provision of these Terms does not waive the right to enforce that provision later.
These Terms, together with the policies and rules incorporated by reference, constitute the entire agreement between you and Deskery regarding use of the Services and supersede prior communications or agreements concerning the same subject matter.
Nothing in this section limits representations, obligations, or consumer rights that cannot lawfully be waived.
Section 22 – Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights and obligations in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or other legitimate business transaction, subject to applicable law.
Section 23 – Governing Law and Venue
These Terms and the Services are governed by the laws of the State of New York and applicable federal laws of the United States, without regard to conflict-of-law principles.
Subject to any rights that cannot be waived under applicable law, disputes arising from these Terms or the Services will be brought in a state or federal court having jurisdiction in New York.
Nothing in this section prevents a customer from exercising rights or bringing claims in another forum where applicable consumer law requires or permits it.
Section 24 – Headings
Headings are provided for convenience and do not change the meaning or interpretation of these Terms.
Section 25 – Changes to These Terms
The current version of these Terms is available on this page.
We may update these Terms to reflect changes in the Services, business operations, policies, technology, or legal requirements.
When we update these Terms, we will post the revised version and update the “Last updated” date.
Where required by applicable law, we will provide additional notice of material changes.
Changes will apply from the effective date stated in the revised Terms or related notice. Changes will not retroactively reduce rights relating to orders already completed unless permitted by applicable law.
